OCI N.V. is a cash-rich takeover arbitrage with EUR 4.10 downside support and asymmetric upside from an Orascom roll-over.
Overview
OCI N.V. has transformed from a global nitrogen, methanol and industrial-chemicals producer into a cash-rich holding company with one principal operating asset, OCI Nitrogen at Geleen. It has completed major disposals including IFCo for USD 3.6 billion, methanol for USD 2.05 billion and the Fertiglobe transaction, generating USD 11.9 billion of gross proceeds and approximately USD 7.0 billion of public shareholder distributions since 2022. **The immediate investment driver is the recommended EUR 4.10 per-share NNS cash offer**, only modestly above the EUR 4.06 market price and designed to avoid the 15% Dutch dividend withholding tax that would burden a wind-down. The alternative Orascom combination exchanges each OCI share for 0.4634 Orascom shares and offers substantial upside if Orascom deploys OCI's cash into its USD 9.4 billion infrastructure backlog. OCI held approximately USD 1.08 billion net cash on May 29, 2026, although USD 361.6 million remains escrowed for Fertiglobe indemnifications. The residual business remains volatile: Q1 2026 OCIN EBITDA was USD 52 million, while standalone operating free cash flow was negative USD 33 million because of a USD 76 million working-capital build. Near-term catalysts are takeover completion, the EGM decision and AGROFERT closing; key risks are legal delay, gas prices and BNA close-out costs.
